Limitation of Liability and Warranty Exclusions

MMV undertakes to take particular care in the veracity of the information transmitted on the site, particularly concerning product specifications and prices, and to keep the site regularly updated. However, erroneous information or omissions may be found due in particular to typographical or layout errors. If you notice any errors, you are invited to indicate them to us so that we can make the appropriate corrections.

MMV reserves the right, at its sole discretion, to modify any element of the Site. As part of its policy of updating and optimising the Site, MMV may decide to modify the present conditions.

Any dated information published on the Site is valid for the date specified only. Thus MMV reserves the right to terminate any or all of its offers on the Internet without notice.

User content agreement

By replying to our comment with the mention @mmv_lesvacancesclub and the hashtag, #YESMMV (the "Consent Hashtag"), you or the organisation or individual you represent unconditionally consent to be bound by the terms of this agreement and become a party to this agreement ("Agreement"), in addition to MMV's privacy policy and the terms of use available at https://www.mmv-holidays.co.uk/en incorporated into this Agreement, together with MMV, its brands, employees, affiliates, subsidiaries, licensees, assigns, legal representatives and heirs (collectively, the "Brand"). You authorise MMV to reproduce and distribute, directly or via third parties, on a non-exclusive basis and for the whole world, the photographs or videos taken by you or representing you as well as to exploit these photographs and other identifying information associated with your publication, such as your user name, image, likeness, caption and hashtags (and the name and image of any other person included in your post) and such additional content as you may choose to provide, such as your name and email address (together, the "User Content"), in whole or in part, in any form and medium including for commercial exploitation. You acknowledge that you are in full possession of your rights and that you are not entitled to claim any remuneration for the exploitation of the rights referred to herein You guarantee that neither you, nor any person you represent, are bound by an exclusive contract relating to the use of your image or name. If you do not accept all the terms of this agreement, do not publish the consent hashtag. If you are entering into this agreement on behalf of an organisation or individual, you represent that you have the autority to do so.

Licence

You hereby grant MMV a non-exclusive, indefinite, royalty-free, irrevocable and worldwide right and license (including the right to sublicense to third parties) to use, reproduce, edit, display, adapt, distribute, transmit and otherwise use the User Content in connection with the marketing and promotion of MMV in any manner whatsoever and in all media now known or later invented, including, without limitation, on MMV websites, for example, in stories created by MMV, retailer websites, marketing emails and social media, including in paid advertisements on social networks for which you will not be paid. You agree and confirm that MMV is not obliged to use or take any action regarding user content. MMV reserves the right to delete everything. If requested by MMV, you will agree to confirm your consent to the licence and other permissions granted under this Agreement in an affidavit or by other means requested by MMV.

Representations and Warranties

You retain all right, title and interest in and to the User Content and represent and warrant that (i) you own all rights in your User Content, or, if the User Content is subject to proprietary rights of third parties, you have all necessary licenses, rights, consents and permissions to publish the User Content you submit and to grant the rights granted by this Agreement, including permission to use the rights of any person(s) appearing in your User Content, in connection with this program and without financial consideration ; (ii) you are 18 years of age or older, (iii) you are legally authorized to post User Content, and your use of the proprietary rights of third parties contained in your User Content, as described in this Agreement, will not violate any rights, including but not limited to, trademark, privacy, publicity or other proprietary rights, of any third party or any law, and (iv) the User Content is not libelous, defamatory, obscene, pornographic, abusive, indecent, threatening, harassing hateful or otherwise offensive.

Release

You hereby release, discharge and agree to defend, indemnify and hold harmless MMV, its subcontractors and each of MMV's and such subcontractors' respective employees, subcontractors, directors, suppliers, representatives, customers and licensees from any and all liabilities, claims and expenses, including reasonable attorney's fees, that relate to any breach or alleged breach by you of any term of this Agreement or to MMV's use of the User Content. MMV reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you shall assist and cooperate with MMV in asserting any available defenses.

Personal information

User Content submitted by you is deemed to be non-confidential and MMV has no obligation to maintain the confidentiality of any information, in any form, contained in a post, except as provided under this Agreement. By publishing the consent hashtag, you consent to the collection by MMV and/or trusted third parties acting on behalf of MMV, such as AdAlong SAS, of any personal information associated with your User Content and the transfer of that information to servers that may be located in other countries, or to affiliates or other trusted third parties based in other countries, so that they may process that information on behalf of MMV. By posting the consent hashtag or otherwise providing MMV or third parties with personal information, you agree to the collection, use disclosure, transfer and processing of your information in accordance with this Agreement. The data will be kept for a period of 3 years. If you do not agree to the collection, use and disclosure of your personal information in this way or if your personal information has changed, please contact the CDA's data controller Véronique Le Bihan at the following address rgpd@mmv.fr.

Miscellaneous

This Agreement represents the entire agreement between you and MMV with respect to the subject matter hereof. MMV may update the terms of this Agreement, including MMV's Terms of Use and Privacy Policy, at any time without notice to you. This Agreement shall be governed by and construed in accordance with the laws of the country of the Brand without regard to its conflict of law provisions. To the fullest extent permitted by law, you hereby expressly agree that any proceeding arising out of or related to this Agreement shall be brought and adjudicated in a state or federal court sitting in the state. The provisions of this Agreement are severable and the invalidity or unenforceability of any provision of this Agreement shall not affect the validity or enforceability of any other provision hereof.
